Notice of AGM and posting of Annual Report

The Company announces that it has today published and posted its Annual Report for the year ended 30 June 2020 ("Annual Report"), together with a notice of its Annual General Meeting ("AGM Notice") to shareholders. The Annual General Meeting ("AGM") is convened to be held at 6th Floor, 2 Grand Canal Square, Dublin 2, D02 A342, Ireland on 23 November 2020 at 4.00 p.m.

Copies of the Annual Report and the AGM Notice are also available on the Company's website at www.cpl.com/ie/investors.

Coronavirus (COVID-19)

Important information in respect of certain precautions and restrictions that will apply for the AGM are included in the section entitled "Coronavirus (COVID-19) Important Information" within the AGM Notice.

This year's AGM is being convened in unusual circumstances given the ongoing Coronavirus (COVID- 19) pandemic. Cpl Resources plc considers the well-being of Shareholders, employees and attendees at the AGM a top priority.

In line with the measures advised by the Health Service Executive we are organising the AGM in a manner so as to minimise the risk of spreading COVID-19. To this end, we strongly request that Shareholders do not attend the AGM in person and instead complete and return their Forms of Proxy as soon as possible to ensure their vote is registered at the AGM. Instead of attending the AGM, we invite Shareholders to listen to the proceedings of the meeting by dialling into the live conference call, details of which are included in the AGM Notice.

The AGM Notice also includes information on how shareholders may submit questions relating to the business of the meeting in advance of the AGM. Questions submitted using this method will, subject to timing constraints, be addressed by the Chairman of the meeting.

Shareholders are encouraged to check Regulatory Information Services and the Company's website www.cpl.com for any updates in relation to the AGM.
