First Mortgage Debenture Stock 2027 (ISIN: GB0001734309) (the "2027 Stock" and, together with the 2021 Stock, the "Stock" and each a "Series" of Stock) This announcement is made in connection with the Proposals as defined in theConsent Solicitation Statement dated 16 August 2006 (the "Consent SolicitationStatement"). Announcement of Redemption As announced by the Company on Wednesday, 13 September 2006, each of theExtraordinary Resolutions detailed in the relevant Notice of Meeting ofStockholders of each Series was duly passed by the requisite majority of holdersof the relevant Stock at the meetings of holders of the Stock held on 13September 2006 and the Terms and Conditions of each Series of Stock have beenamended accordingly. NOTICE IS HEREBY GIVEN THAT, following the passing of the ExtraordinaryResolutions and pursuant to the amended terms and conditions of the Stock, alloutstanding Stock will be redeemed in accordance with the conditions sospecified in the Consent Solicitation Statement on Thursday, 5 October 2006 (the"Settlement Date") at the relevant Existing Stock Price by delivery of New Stockor cash (in the case of ineligible Stockholders). In addition, delivery and/orpayment of, as applicable, any Cash Rounding Amount, Accrued Interest, the EarlySolicitation Fee and the Resolution Fee will be settled on the Settlement Dateon the terms set out in the Consent Solicitation Statement.
