Announcement of Forward Purchase Agreement

Citizen Treasury plc (the Issuer)

Further issue of 4.625 per cent. Secured Bonds due 2042 (to be consolidated and form a single series with the £200,000,000 4.625 per cent. Secured Bonds due 2042)

The Issuer has today executed a Forward Purchase Agreement in connection with the issue of an additional £100,000,000 in principal amount of its 4.625 per cent. Secured Bonds due 2042 (the "New Bonds"). The issue of the New Bonds has been priced at 133.998 per cent. and the New Bonds have been purchased on a deferred basis. It is expected that the proceeds of the New Bonds, including an amount representing accrued interest, will be received 14 October 2020. The New Bonds are expected to initially be issued as retained bonds which will be immediately repurchased and held for sale under the Forward Purchase Agreement. Barclays Bank PLC acted as Sole Lead Manager.
