Amended and Restated Relationship Agreement

New World Resources Plc (the "Company") announces that it has been informed by CERCL Mining B.V. that it has transferred all of its shares in the Company to CERCL Mining B.V.'s subsidiary CERCL Mining Holdings B.V. following an intra-group reorganisation within the CERCL entities.

In this context, the Company has concluded an amended and restated relationship agreement on the same terms as the previous agreement. CERCL Mining Holdings B.V. has been added as a party to the relationship agreement to reflect the transfer of the shares, next to BXR Group Holdings Limited, Zdenek Bakala, CERCL Mining B.V. who were already party to the previous agreement with the Company.

The agreement takes effect from today (12 January 2016).
