ALLOTMENT OF ORDINARY SHARES AND LISTING APPLICATION

Rockrose today announces that pursuant to the exercise of certain warrants by Macquarie Capital (Europe) Limited ("Macquarie") to subscribe for ordinary shares of nominal value 20 pence each in the capital of the Company (the "Ordinary Shares"), the Company has allotted to Macquarie (i) 100,000 Ordinary Shares at a strike price of 50 pence (the "50p Shares") and (ii) 53,333 Ordinary Shares at a strike price of 150 pence (the "150p Shares" and together with the 50p Shares, the "New Ordinary Shares").

An application has been made to the Financial Conduct Authority (the "FCA") for the New Ordinary Shares to be admitted to listing on the standard segment of the Official List maintained by the FCA under Chapter 14 of the Listing Rules and to trading on the main market for listed securities of London Stock Exchange plc.

It is expected that admission will become effective on or around 19 November 2018. When issued, the Shares will rank pari passu with the existing ordinary shares of the Company.

Following the issue of the New Ordinary Shares, the Company's issued share capital will consist of 15,513,643 Ordinary Shares, with voting rights. This figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules. The Company does not hold any Ordinary Shares in treasury.
