Allotment of Deferred Placing Shares

Imperial Innovations Group plc (AIM: IVO or 'the Group', 'Innovations') announces that further to the announcements made by the Company on 4 February 2016 and 22 February 2016 regarding the Placing to raise £100 million, Woodford Investment Management LLP has notified the Company that it has received FCA approval under section 185 of the Financial Services and Markets Act 2000 for Woodford Investment Management LLP to acquire a holding of 20% or more of the shares in the Company. Accordingly, the Deferred Placing Shares (comprising 2,739,604 new Ordinary Shares and representing £11.6 million at the Placing Price of 425p) have now been conditionally allotted to Woodford Investment Management LLP.

Application has been made to the London Stock Exchange for the Deferred Placing Shares to be admitted to trading on AIM and it is expected that Admission of the Deferred Placing Shares will become effective at 8.00am on 14 June 2016.

Following Admission, the issued share capital of the Company will consist of 161,204,124 Ordinary Shares. The Company does not hold any shares in treasury. Therefore the total number of Ordinary Shares in the Company with voting rights will be 161,204,124. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
