Agreement of sale to BT Group plc

EE Limited, Guarantor of the EE Finance Plc £3,000,000,000 EMTN Programme, announces that its shareholders, Deutsche Telekom AG and Orange SA, have today made the following announcement:

Deutsche Telekom AG and Orange SA, the joint shareholders of EE Ltd, announced today that they have reached an agreement with BT Group plc (BT) to sell 100% of their shares in EE. The transaction is subject to approval by the shareholders of BT and clearance by the relevant authorities. It is expected to close by March 2016.  

Deutsche Telekom and Orange will make further announcements when appropriate.
