AGM Notice Update and Ministerial Visit to Mine Site

In connection with the Annual General Meeting of North River which is due to be held at Shakespeare Martineau LLP, 5th Floor, One America Square, Crosswall, London EC3N 2SG on Thursday 25 June 2015 at 11.00 am, and in addition to comments made in the Annual Report, the Company wishes to provide further clarification with regards to Resolutions 7 and 8 which are to be voted on at the AGM.

The Company believes that shareholder value can best be generated by advancing the Namib Lead-Zinc Project in Namibia into production as soon as is possible. Good progress is being made in defining a funding plan for the requirements of the full project (once the mining licence is received), and the need for working capital required to continue with underground mine development for resource expansion, advancing into engineering of the defined processing plant flow sheet, and potentially to start sourcing second hand equipment, in the lead up entering project construction. Discussions with a number of potential debt and equity providers are ongoing.

To the extent that any funding package includes an issue of equity, the Company is committed to offering all shareholders the opportunity to participate, for example, by way of an open offer, subject to such exclusions as the directors may deem necessary to avoid undue legal or regulatory burdens in any jurisdiction.

In the meantime, the precise size, structure and timing of any further funding remains under discussion. As and when firm proposals are developed, the Company will make further announcements.

Senior Government visit to Namib mine site

Separately, the Company hosted a site visit last week Thursday, 18 June 2015, for the new Minister of Mines and Energy in Namibia, the Honorable Obeth Kandjoze, and the Governor of the Erongo Region, the Honorable Cleophas Mutjavikua. They were joined by a large delegation from the Mining Ministry. The visit included very constructive discussions on the development plans for Namib and a tour of both surface and underground infrastructure. The visit formed part of a wider programme of mine visits for the new Minister, and the Company was very pleased that North River Resources' Namib project was included in this tour.
