Independent advisory firms ISS, Glass Lewis and PIRC recommend shareholders vote against both Sherborne's resolutions
Electra Private Equity PLC ("Electra") notes that independent proxy advisory firms Institutional Shareholder Services Inc. ("ISS"), Glass, Lewis & Co., LLC ("Glass Lewis") and Pensions & Investment Research Consultants Ltd ("PIRC") have recommended that Electra shareholders vote against both the resolutions proposed on behalf of Sherborne Investors Management (Guernsey) LLC and its associates, to be voted on at Electra's general meeting on 5 November 2015 ("General Meeting").
The Board of Directors of Electra unanimously recommends that all shareholders VOTE AGAINST the General Meeting resolutions.
Electra has published a circular with a summary of the audited results for the full year ended 30 September 2015 and reminding shareholders to vote at the General Meeting, which will be held at 11.00 am on Thursday 5 November 2015 at Allen & Overy LLP, One Bishops Square, London E1 6AD (the "Circular"). The Circular has been posted to shareholders and will also be available on the Company's website at http://www.electraequity.com/. A copy of the Circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.
