Admission to trading on the London Stock Exchange

Further to its announcement on 26 March 2015, BCA Marketplace plc (formerly Haversham Holdings plc) (the "Company") is pleased to announce that its entire issued ordinary share capital of 780,247,192 ordinary shares of £0.01 each has today been admitted to the standard listing segment of the Official List of the UK Listing Authority and to trading on the Main Market of the London Stock Exchange for listed securities under the ticker "BCA".

Total voting rights

In accordance with the Disclosure and Transparency Rules (DTR 5.6), the Company makes the following disclosure with respect to the share capital and voting rights of the Company. As at 2 April 2015, the share capital of the Company consists of 780,247,192 ordinary shares of £0.01 each with voting rights. The Company does not hold any shares in treasury. Therefore, the total number of shares and voting rights in the Company is 780,247,192.

The above figure (780,247,192) may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
