Admission to trading of Common Shares

Zenith Energy Ltd. ("Zenith" or the "Company") (LSE: ZEN; OSE: ZENA; PINK MARKET: ZENAF), the listed international energy production and development company, confirms that an application has been made for admission to the Transition Category of the FCA Official List and to trading on the Main Market for listed securities of the London Stock Exchange of 20,693,379 common shares of no par value ("Common Shares"). The Common Shares already form part of the Company's outstanding share capital and do not represent a new equity issuance.

The Common Shares to be admitted include 1,379,310 common shares of no-par value in the capital of the Company issued in connection with the UK Financing announced on May 29, 2025.

Admission for the Common Shares to be admitted to the Transition Category of the FCA Official List and to trading on the Main Market for listed securities of the London Stock Exchange is expected to take place on May 9, 2025 ("Admission").

Following Admission, the number of Common Shares admitted to the Transition Category of the FCA Official List and to trading on the Main Market for listed securities of the London Stock Exchange will be 328,482,086.
