Admission of Placing Shares & Major Shareholder Update

Further to the Company's announcement on 21 March 2014 regarding the completion of a £200,000 placing (the "Placing"), North River announces that the 30,769,232 shares issued as part of the Placing (the "Placing Shares") were admitted to trading on AIM yesterday. Accordingly, the total number of voting rights in the Company as at today's date is 1,351,016,864.

Taurus Mineral Limited Shareholding Update

Taurus Mineral Limited ("Taurus") remains interested in a total of 266,666,667 ordinary shares in the Company*. Based on the above total number of voting rights in the Company, Taurus' holding equates to a 19.7 per cent. interest in North River.

North River now plans to discuss the future composition of the Board with Taurus to ensure it is appropriate for North River's future plans.

\* Taurus Mineral Limited's stake is held through Kalahari Gold Limited (245,000,000 shares) and Kalahari Diamonds Limited (21,666,667 shares), both of which are 100% owned by Extract Resources Limited, which in turn is 100% owned by Taurus Mineral Limited.

Total Voting Rights

As noted above, the total number of voting rights in the Company following the Placing is 1,351,016,864. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules. The Company has no Ordinary Shares held in treasury.
