Admission to Official List of C Shares and Total Voting Rights

The Board of HICL Infrastructure Company Limited ("HICL" or the "Company") announces that the 250,000,000 C Shares issued in connection with HICL's Placing, Open Offer and Offer for Subscription have been admitted to the Official List of the UK Listing Authority and to trading on the premium segment of the Main Market of the London Stock Exchange.

Unconditional dealing in the C Shares will commence at 8.00am today and will trade under the ticker HIC.L.

In conformity with the Disclosure Rules and Transparency Rules of the UK Listing Authority, as at 30 March 2012, HICL's issued share capital consists of 665,422,215 Ordinary Shares of 0.01p each and 250,000,000 C Shares of 0.01p each. The total issued share capital with voting rights is therefore 915,422,215.

The figure of 915,422,215 may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Rules and Transparency Rules of the UK Listing Authority.
