Admission to Official List of C Shares and Total Voting Rights

The Board of HSBC Infrastructure Company Limited ("HICL" or the "Company") announces that the 110,000,000 C Shares issued in connection with HICL's Placing, Open Offer and Offer for Subscription have been admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange.

Unconditional dealings in the C Shares will commence at 8.00am today and will trade under the ticker HICC.L.

In conformity with the Disclosure Rules and Transparency Rules of the UK Listing Authority, we would like to notify the market of the following:

As at 15 December 2010, HICL's issued share capital consists of 496,321,977 Ordinary Shares of 0.01p each and 110,000,000 C Shares of 0.01p each. The total issued share capital with voting rights is 606,321,977.

The above figure (606,321,977) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Rules and Transparency Rules of the UK Listing Authority.
