Adjournment of Court Meeting and General Meeting for the Original MSIP Offer
On 30 July 2021, the boards of Augean and Antwerp Management Limited announced that they had reached agreement on the terms of a recommended offer whereby the entire issued and to be issued share capital of Augean would be acquired by Antwerp Management Limited ("MSIP Bidco") at an offer price of 280 pence in cash plus a contingent value right of up to a further 20 pence for each Augean Share (the "Original MSIP Offer") to be implemented by way of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the "MSIP Scheme"). The shareholder circular in relation to the MSIP Scheme was published on 16 August 2021 (the "MSIP Scheme Document").
On 24 August 2021, the boards of Augean and Eleia Limited ("Eleia Bidco") announced that they had reached agreement on the terms of a recommended cash offer whereby the entire issued and to be issued share capital of Augean would be acquired by Eleia Bidco at an offer price of 325 pence in cash for each Augean Share (the "Eleia Offer") to be implemented by way of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the "Eleia Scheme"). The shareholder circular in relation to the Eleia Scheme was published on 6 September 2021.
On 8 September 2021 the boards of Augean and MSIP Bidco announced that they had reached agreement on the terms of an increased recommended all cash offer at a price of 340 pence in cash per Augean Share (the "Increased MSIP Offer"), and that the Augean Directors proposed to adjourn the Court Meeting and the General Meeting convened to implement the Original MSIP Offer to 30 September 2021 (being the date on which the Court meeting and general meeting related to the Eleia Offer have been convened).
In light of the superior proposal of 340 pence per Augean Share, the Augean Directors intend to recommend unanimously that Augean Shareholders vote in favour of the resolutions to implement the Increased MSIP Offer and accordingly, the Augean Directors have withdrawn their recommendation of the Eleia Offer.
Adjournment
The Augean Directors confirm that the Court Meeting and the General Meeting convened to implement the Original MSIP Offer were adjourned earlier today. The Court Meeting will now start at 11.30 a.m. on 30 September 2021 and the General Meeting will start at 11.45 a.m. on 30 September 2021 (or as soon thereafter as the Court Meeting shall have been concluded or adjourned). The Court Meeting and the General Meeting will both be held at the offices of Ashurst LLP, London Fruit & Wool Exchange, 1 Duval Square, London, E1 6PW.
Augean will provide a further update to Augean Shareholders in due course regarding the expected timetable of the Increased MSIP Offer.
In light of the uncertainty surrounding the COVID-19 restrictions that may be in place as at the date of the Meetings, and in order to protect the health and safety of all stakeholders, Scheme Shareholders, Augean Shareholders and other attendees (including any of their duly appointed proxies and/or corporate representatives) are strongly encouraged not to attend the Court Meeting or the General Meeting in person.

Dealing and opening position disclosure requirements
Under Rule 8.3(a) of the Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company or of any securities exchange offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange offeror is first identified. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s). An Opening Position Disclosure by a person to whom Rule 8.3(a) applies must be made by no later than 3.30 pm (London time) on the 10th business day following the commencement of the offer period and, if appropriate, by no later than 3.30 pm (London time) on the 10th business day following the announcement in which any securities exchange offeror is first identified.
