Wolseley plc (the "Company")

Application has been made to the UK Listing Authority for the block listing of 110,000 ordinary shares of 10 53/66 pence each in the Company to the Official List and to the London Stock Exchange for these shares to be admitted to trading.

These shares will be issued and allotted in connection with the Wolseley Group Executive Share Option Plan 2012 (50,000 shares) and the Wolseley Group Long Term Incentive Plan 2012 (60,000 shares). When issued, these shares will rank pari passu with the existing ordinary shares.

Admission is expected to be effective on 8 October 2015.
