Additional Listing

Application has been made to the Financial Conduct Authority and the London Stock Exchange for a total of 8,400,000 ordinary shares of £0.10 each to be admitted to the Official List. It is expected that admission will become effective on 12 March 2019.

These shares are being reserved under a Block Listing and will be issued as a result of the award of shares pursuant to the following employee share plans:

· CYBG Deferred Equity Plan (2,000,000)

· CYBG Long Term Incentive Plan (1,400,000)

· CYBG Share Incentive Plan (2,400,000)

· Virgin Money Deferred Bonus Share Plan (1,700,000)

· Virgin Money Long Term Incentive Plan (900,000)

When issued, these shares will rank pari passu with the existing ordinary shares.
