Application has been made for 280,096 Ordinary Shares of £0.01 each fully paid in the Company ("New Shares") to be admitted to the Official List of the UKLA and to trading on the London Stock Exchange. It is expected that these New Shares will be admitted to trading on 25 February 2014.

The application is being made pursuant to the scrip dividend alternative in lieu of cash for the interim dividend for the period from 1 October 2013 to 31 December 2013. Elections for a scrip dividend were received in respect of 5.8% of the Ordinary Shares in issue as at the record date of 24 January 2014. When issued, these New Shares will rank pari passu with the existing Ordinary Shares.

In conformity with the Financial Conduct Authority's ("FCA") Disclosure and Transparency Rules, the Company would like to notify the market of the following:

Following the allotment of 280,096New Shares referred to above, the Company's issued share capital consists of 355,058,164 Ordinary Shares of £0.01 each. With effect from 25 February 2014, the total issued share capital with voting rights is 355,058,164.

The above figure 355,058,164 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, GCP Infrastructure Investments Limited, under the FCA's Disclosure and Transparency Rules.
