RSA Insurance Group plc ("the Company")

Application for Block Listing

Application has been made to The UK Listing Authority and the London Stock Exchange for a block listing of 8,500,000 ordinary shares of £1 each under the following Company share plans:

Block listing under the RSA Performance Share Plan 2014 (7,000,000 shares).

Block listing under the 2009 RSA Sharesave Plan (1,200,000 shares).

Block listing under the RSA Share Incentive Plan (300,000 shares).

The above shares are to trade on the London Stock Exchange and to be admitted to the Official List. The shares are expected to be admitted to The Official List and to trading on the London Stock Exchange on 14 December 2017. Participants in the Plans have or will become entitled to these shares following the vesting of share awards and the exercise of options.

The shares shall rank pari passu with the existing issued ordinary shares of the Company.
