Stem Cell Sciences plc01 November 2005 1 November 2005 Stem Cell Sciences plc (the "Company") Additional Shares to be Admitted to AIM On 24 October 2005 the Company issued a total of 40,000 Ordinary Shares of 50pto the following allottees: (a) DH Newton Nominees Pty Limited (20,000 Ordinary Shares); and (b) ND & NL Birrell (20,000 Ordinary Shares). The 40,000 Ordinary Shares of 50p were issued as a result of the exercise by DHNewton Nominees Pty Limited and ND & NL Birrell of options granted to DH NewtonNominees Pty Limited and ND & NL Birrell on 23 June 2005 to subscribe each for20,000 Ordinary Shares of 50p at a price of 50p per share. The 40,000 Ordinary Shares of 50p rank pari passu in all respects with theOrdinary Shares of 50p already admitted to trading and will be admitted totrading on 4 November 2005. DH Newton Nominees Pty Limited is currently subject to a Lock-in Agreementwhereby DH Newton Nominees Pty Limited has undertaken, subject to certainlimited exceptions, not to dispose of any of the Ordinary Shares in the Companywhich it holds, prior to 18 July 2006 (the first anniversary of the Company'sadmission to AIM) without the prior written consent of Collins Stewart, theNominated Adviser of the Company. Further orderly marketing arrangements applyto the period commencing on 18 July 2006 and ending 18 July 2007, pursuant towhich DH Newton Nominees Pty Limited is obliged to sell any Ordinary Shares inthe Company, which it chooses to dispose of, through Collins Stewart (or suchother broker as is appointed by the company from time to time). The 20,000 Ordinary Shares allotted to ND & NL Birrell are not subject to anylock-in or orderly marketing agreement.
