Additional listing - scrip dividend shares

Urban&Civic plc confirms that in accordance with the terms of the scrip dividend scheme, 59,066 ordinary shares are to be issued at a price of 246.35 pence per share in relation to the interim dividend, payable on 22 July 2016. 

An application has been made for 59,066 new ordinary shares ("New Shares") to be admitted to the standard segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange ("Admission"), the New Shares will rank pari passu with the existing issued ordinary shares of the Company.

It is expected that Admission will become effective and unconditional dealings in the New Shares will commence on or around 8.00am on 22 July 2016.

Following Admission, the Company's issued share capital will comprise 144,804,728 ordinary shares with one voting right per share. No shares are held in Treasury. The total number of voting rights in the Company is therefore 144,804,728.

This figure of 144,804,728 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
