Skyepharma PLC24 March 2005 SkyePharma PLC On 29 December 2004, SkyePharma entered into a Stock Purchase Agreement ("theAgreement") to purchase shares in Astralis Ltd ("Astralis") from two formerdirectors of Astralis. The Agreement became unconditional on 3 March 2005.Application has therefore been made to the London Stock Exchange and the UKListing Authority for 5,482,238 Ordinary shares of £0.10 each to be admitted tothe Official List for the allotment of 4,263,963 shares to Mr. Mike Ajnsztajnand 1,218,275 shares to Mr. Gaston Liebhaber. The shares will rank pari passu in all respects with the existing issuedordinary share capital of the company.
