Rathbone Brothers PLC18 May 2006 Rathbone Brothers plc Additional Listing Application has been made to the Financial Services Authority ("FSA") and theLondon Stock Exchange for the listing of 1,970,449 ordinary shares of 5p eachfully paid ("Ordinary Shares"), to trade on the London Stock Exchange and beadmitted to the Official List. It is expected that admission of these OrdinaryShares will become effective on 22 May 2006. These Ordinary Shares will rankpari passu with the existing issued Ordinary Shares of the Company. These Ordinary Shares are in relation to the following: • 670,449 Ordinary Shares issued between 18 October 2005 and 25 April2006 as a result of the exercise of options under the Rathbones 2000 InlandRevenue Approved Share Option Scheme and the Rathbones 2000 Non Inland RevenueApproved Share Option Scheme; and • 1,300,000 Ordinary Shares issued as a block listing, which will beallotted from time to time in accordance with the exercise of options under thethe Rathbones 2000 Inland Revenue Approved Share Option Scheme and the Rathbones2000 Non Inland Revenue Approved Share Option Scheme.
