An application has been made to The UK Listing Authority and The London Stock Exchange for a listing of 17,310,991 ordinary shares of 10 pence each in the Company to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. These shares shall rank pari passu in all respects with the existing issued ordinary shares of the Company and it is expected that admission will commence at 8.00am on Wednesday 3 December, 2014.

These shares will be issued to Lloyds Bank plc ("Lloyds") in respect of the balance of the initial consideration payable for the acquisition of Scottish Widows Investment Partnership Group Limited following Lloyds receiving all remaining regulatory approvals and consents relating to the completion of the Company's acquisition, as announced on 1 April 2014.
