SDL PLC20 July 2006 20 July 2006 SDL PLC Listing application Application has been made for 343,599 ordinary shares of 1p each ("OrdinaryShares") to be admitted to the Official List of the UK Listing Authority and totrading on the London Stock Exchange's markets for listed securities. 56,043Ordinary Shares relate to have been issued and allotted to satisfy the deferredconsideration under the Lingua Franca acquisition which took place in April2005. The remaining 287,556 Ordinary Shares have been issued and allottedpursuant to acquisition in April 2003 of Lomac SP z.o.o. and its subsidiarycompanies ("Lomac") and the meeting by Lomac of certain performance criteria setat the time of acquisition. The 343,599 Ordinary Shares will rank pari passu with the existing issuedordinary shares of the Company and it is expected that admission will take placeon 20 July 2006.
