SDL PLC

Application for Additional Listing

Application has been made to the UK Listing Authority and the London Stock Exchange

for 32,146 ordinary shares of 1p each in the capital of SDL PLC to be admitted to the Official List

and admitted to trading. Such admission is expected to become effective and dealings to

commence in these shares on 16 June 2008.

These shares are issued as part consideration pursuant to the acquisition of Pass Process

Automation Software Systems Engineering GmbH in 2007.

These shares will rank equally with the existing issued ordinary shares of SDL PLC.
