Additional Listing and Directors' Share Interests
Victoria Oil & Gas Plc the oil and gas company with assets in Cameroon and the FSU announces that on 20 April 2009 it allotted, conditional on admission, a further 3,652,474 ordinary shares of 0.5 pence each in the Company ("Ordinary Shares").
Of these, 534,365 Ordinary Shares have been issued in lieu of cash payment to advisers and 2,083,333 have been issued to YA Global Master SPV Limited in connection with the Standby Equity Distribution Agreement announced by the Company on 2 April 2009. A further 1,034,776 Ordinary Shares have been allotted to employees and Directors in lieu of cash salary in accordance with their standard employment contacts at a weighted average month-end market price of 5 pence for the six month period ended 31 January 2009.
The effect of the above on the holdings of the Directors is as follows:-

* The shares are held by H J Resources Ltd on behalf of a discretionary trust, of which Mr Foo and his wife are possible beneficiaries.
These share allotments rank pari passu in all respects with the existing issued Ordinary Shares in the Company. Application has been made to the London Stock Exchange for these shares to be admitted to AIM and it is expected that dealings will commence on 23 April 2009. The total issued share capital of VOG following this allotment will be 482,748,706 shares. The Company does not hold any ordinary shares in treasury and so the total number of voting rights in the Company is 482,748,706.
