22 August 2012 Pendragon PLC ("the Company") Additional Listing & Total Voting Rights

A listing application has been made today by the Company for 1,476,707

ordinary shares of 5 pence each in the Company to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. The shares will be issued fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company. This figure represents shares issued pursuant to the exercise of warrants on the 14 August 2012 that were issued to the Company's lenders as part of the refinancing of bank facilities in 2009.

Following the issue of 1,476,707 ordinary shares and their admission to trading, the Company has 1,428,379,753 ordinary shares of 5 pence each in issue, representing a total ordinary share capital of £71,418,987.65. The voting rights attached to the ordinary shares are on the basis of one vote per share, representing total voting rights of 1,428,379,753. There are no shares held in treasury.

This figure (1,428,379,753) may be used by shareholders (and others withnotification obligations) as the denominator for the calculations by which theywill determine if they are required to notify their interest in, or a change totheir interest in, the Company under the FSA's Disclosure and TransparencyRules.
