Tribal Group PLC11 July 2005 Tribal Group plc11 July 2005 Tribal Group plc Application has been made today for the admission of 930,641 new ordinary sharesof 5p each in Tribal Group plc (the "New Tribal Shares") to the Official List ofthe UK Listing Authority and to trading on the London Stock Exchange. The New Tribal Shares have been issued pursuant to further considerationarrangements or by way of redemption of loan notes issued in respect of a numberof previous acquisitions of shares. The number of shares relating to eachacquisition is set out below: Acquisition Number of shares Tribal Technology Limited (acquisition of minority equity interests) 402,575- partial redemption of loan notes issued as consideration on 24 May 2005 Tribal Education Limited (acquisition of minority equity interests) 410,073- partial redemption of loan notes issued as consideration on 24 May 2005 Derek Hicks and Thew Limited - further consideration pursuant to 117,993earn-out arrangements in accordance with acquisition agreementannounced on 11 November 2004 Total 930,641 The above acquisitions have all been previously announced at the dates ofcompletion. Save as set out above, there has been no significant changeaffecting any of the matters contained in the earlier announcements and no othersignificant matter has arisen in respect of these acquisitions which wouldrequire further announcement. The New Tribal Shares will rank pari passu in all respects with the existingordinary shares and it is expected that trading will commence on 14 July 2005.
