Rolls-Royce Group PLC19 December 2006 Rolls-Royce Group - Additional Listing Rolls-Royce Group plc (the "Company") Application has been made to the UK Listing Authority for the listing of, and tothe London Stock Exchange for the Admission of, 2,086,426 Ordinary Shares of 20peach to the Official List. These shares will be issued as a result of theconversion of Non-Cumulative Redeemable Convertible Preference Shares of 0.1pence each ("B Shares") by shareholders. As a consequence of conversions andredemptions, 66,158,307,164 B Shares will be cancelled with effect from 3January 2007. These changes are being made pursuant to the circular toshareholders, dated 22 March 2004.
