Menzies(John) PLC08 March 2006 John Menzies plc announces acquisition of Aeroground, Inc. John Menzies plc, the time-critical logistics company, is pleased to announcethat it has reached conditional agreement for Menzies Aviation, its aviationsupport services subsidiary, to acquire the entire issued share capital ofAeroground, Inc., a provider of air cargo handling services to customers at 9airports in the USA and Canada. The total cash consideration for Aerogroundamounts to $28m on a cash free / debt free basis with a further maximum of $2mpayable dependent on the future performance of the business over the next 2years. It is expected that the transaction will be completed by the end of April2006 subject to regulatory clearance. Aeroground was established in 1988. It employs over 1,200 staff and operates atmany of North America's key international cargo airports, including Los Angeles,Chicago O'Hare, New York JFK, Dallas/Fort Worth and Vancouver. In particular,Los Angeles airport is the key US cargo gateway serving Asian carriers operatingin the fast growing trans-pacific cargo market. The acquisition of Aerogroundwill substantially improve and expand Menzies Aviation's cargo offering in NorthAmerica and will double its turnover in the region. Anthony Bonino, Aeroground's major shareholder and chief executive, will retainresponsibility for the business as part of the Menzies Aviation North Americamanagement team. Aeroground's reported unaudited results for the year to 31 December 2004 were asfollows : Profit before tax $1.1m Gross assets $13.0m Profit before tax was struck after one off items of $1.0m. During 2005 thebusiness recorded a significant like for like improvement in performance. The acquisition is expected to be earnings enhancing in 2006.
