Electric Word PLC01 May 2007 1st May 2007 A correction has been made to today's acquisition announcement by Electric Word plc (RNS 8416V): Electric Word is paying an initial consideration of £182k with a deferred consideration over two years capped at £75k (not £50k as previously stated) Electric Word plc Acquisition Electric Word plc, the specialist information business, announced today theacquisition of Smallwood Publishing Ltd for a maximum cash consideration of£257,000. Smallwood is a catalogue business supplying educational resources toschools and professionals working with children and young people. Smallwood willjoin Electric Word's Incentive Plus subsidiary based in Milton Keynes, and isexpected to relocate from its existing base in Dover later this year. ElectricWord will benefit from the exclusive UK distribution rights that Smallwood holdsto a number of established overseas resources, as well as its customer databaseof professionals working in child and family therapy and health. Smallwood willbenefit from the marketing and fulfilment capabilities of Incentive Plus andthe Electric Word group. In the year to 30 April 2006 Smallwood Publishing Ltdmade a profit after tax and dividends of £13k on turnover of £310k, and with netassets of £88k. Electric Word is paying an initial consideration of £182k witha deferred consideration over two years capped at £75k.
