Acquisition of 20% minority interest in VCCP Search Limited

Chime Communications PLC, a leading marketing services group, is delighted to announce it has entered into an agreement to acquire the remaining 20% of the share capital of VCCP Search Limited ('VCCP Search') which it does not own. VCCP Search develops software to support search engine marketing.

The consideration for the acquisition of the 20% interest comprises an initial £1.3 million in cash and further performance related payments subject to a maximum of £6.7 million in cash.

Chime is acquiring the 20% interest in the business from VCCP Search's two founders - Paul Mead and David Midgley.

VCCP Search reported turnover of £7.1 million for the 12 months ended 31 December 2011 and operating profit of £806,711. The gross assets of VCCP Search were £627,282 as at 31 December 2011.

VCCP Search provides software which supports the activities of other Chime businesses and the acquisition of the remaining 20% interest on these terms will both incentivise the two key individuals and result in Chime owning 100% of this strategically important business.
