SDL PLC18 April 2005 SDL Acquires Lingua Franca Expands Arabic localization services with strategic acquisition Maidenhead - 18 April 2005 - SDL International, the world's leading provider oftranslation services and technology solutions, announced today that it hasacquired the business of Lingua Franca, a leading Arabic localization serviceprovider based in Dubai. The consideration of $650,000 will be met by an initialpayment of $400,000 in cash and a total of 112,086 shares to be issued by thesecond anniversary of the transaction. The acquisition extends the SDL network of in-country offices to the MiddleEast, improving access to local resources and giving greater flexibility inresource allocation. SDL will implement its processes, procedures andtechnologies at Lingua Franca, allowing more control over the provision ofArabic localization services. Customers will benefit from high qualitytranslations that are sensitive to local culture and terminology, delivered in atimely and cost-effective manner.
