Huntsworth PLC17 August 2005 HUNTSWORTH PLC 17 August 2005 Acquisition of The Anne McBride Company Inc, USA Huntsworth PLC, ("Huntsworth"), the international public relations group,announces today that it has agreed to acquire The Anne McBride Company Inc, ("Anne McBride"), the US-based communications company. The initial considerationwill be $2,658,562 to be satisfied by the issue of 1,263,501 new ordinaryshares. Deferred consideration of a maximum of $2,341,438 may be payable depending onthe financial performance of "Anne McBride" in the two years from September2006. This deferred consideration would be payable in cash or new ordinaryshares, at Huntsworth's discretion, subject to US tax authority limits. Application to the UK Listing Authority and to the London Stock Exchange isbeing made today for the admission of these shares to trading on the OfficialList of the UK Listing Authority. Dealings are expected to commence on 22August 2005.
