Synergy Healthcare PLC19 November 2007 19 November 2007 SYNERGY HEALTHCARE PLC ("Synergy" or "the Company") Acquisition of Vernon-Carus Limited Synergy Healthcare plc (AIM: SYR), a leading provider of outsourced healthcaresupport services in the UK, Continental Europe, Asia and South Africa, todayannounces the acquisition of the entire issued share capital of Vernon-CarusLimited ("Vernon-Carus") for a total consideration of £24.4 million, includingthe assumption of £8.1 million of debt. The acquisition of Vernon-Carus is in line with Synergy's strategy of growingthe range of services within its Patient Care division. Vernon-Carus is a majorsupplier to the NHS focusing on infection control and decontamination services.For the year ended 1 April 2007 Vernon-Carus had sales of approximately £33million, operating profit (before exceptional item) of £1.0 million and profitbefore taxation of £0.2 million, with net assets of £8.5 million. Vernon-Caruswill be integrated within Patient Care over the coming two months, and willresult in a reduction in the planned capital expenditure for new facilities forPatient Care. The £16.3 million consideration will be satisfied from existingbank facilities. Synergy will announce its results for the six months ended 30 September 2007 onTuesday 20 November 2007.
