Arte Gráfico Editorial Argentino S.A. becomes

sole shareholder of Billetera Móvil S.A.

On 2 September 2022, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange that its subsidiary Arte Gráfico Editorial Argentino S.A. ("AGEA") had entered into a stock purchase agreement with Botón de Pago S.A. ("BDP") whereby AGEA had acquired BDP´s entire participation in Billetera Móvil S.A. ("BIMO"): i.e. 704,578 shares representing 50% of the issued and outstanding capital stock and votes of BIMO. Following the execution of said agreement, AGEA has become the sole shareholder of BIMO, with 100% of its issued and outstanding capital stock and votes.
