Carillion PLC10 February 2006 THIS ANNOUNCEMENT IS NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION IN, INTO ORFROM THE UNITED STATES, AUSTRALIA, CANADA OR JAPAN Carillion PLC ("Carillion") Acquisition of one share in Mowlem plc Carillion has today acquired one ordinary share in Mowlem plc ("Mowlem") at aprice of 236 pence. This will mean that Carillion will be a member of Mowlem onthe effective date of the Scheme and accordingly there will be no requirementunder section 103 of the Companies Act 1985 for an independent valuation of theordinary shares in Mowlem to be allotted to Carillion pursuant to the Scheme. The Panel Executive has confirmed that the acquisition of the share has no Codeconsequences.
