Acq. of minority interests

Empresaria Group PLC10 October 2005 Empresaria Group plc ("Empresaria") announces that it has agreed to acquireminority shareholdings in its subsidiary companies, Social Work Associates Ltd("SWA")and Greycoat Placements Ltd ("GCP"). SWA and GCP specialise in the recruitment of social workers and domestic staffrespectively. The acquisition of the minority shareholdings is made pursuant to an originalagreement between Empresaria and the employee shareholders of both companies anda subsequent agreement between the same parties made earlier this year. The consideration was satisfied by the issue of Ordinary shares of 5p each inthe capital of Empresaria. After the acquisition Empresaria will own 100 per cent. of SWA and 82.29 percent. of GCP.
