Suspension of shares

The Company announces that it will not be in a position to publish its report and accounts for the year ended 31 December 2011 within the deadline required under the AIM Rules and, accordingly, trading in the Company's shares is suspended with immediate effect.

Separately, the Company is pleased to announce that, after a lengthy period of discussion, it has on 27 June 2012 entered into non-binding heads of terms for a significant acquisition of a group of companies with a complementary real estate portfolio to that of the Company. The parties to the heads of terms are also in advanced stage discussions with a third party regarding funding for the acquisition.

This acquisition, when made, would constitute a reverse take-over under the AIM Rules. The suspension will remain in place pending the publication of the accounts for the year ended 31 December 2011 and, in relation to the acquisition envisaged, the Admission Document relating to the enlarged group.

The loan of £500,000 made available from the Pluto Partnership ("Pluto") as announced on 29 June 2011 becomes repayable, together with the applicable redemption premium, on 28 June 2012. The Company is in discussions with Pluto with a view to deferring the repayment of such loan and crystallisation of security granted therefore. Whilst the Company has had positive meetings with Pluto, there can be no guarantee that such deferral will be agreed. If such deferral cannot be agreed, this would leave the Company with a working capital shortfall.
