The accession of new Guarantors of the £350,000,000 6.250 per cent. Guaranteed Notes due 2026 ISIN XS0629974352 (the "Notes")

This serves to notify Noteholders of the above mentioned Notes that on 21 March 2022, Co-operative Group Holdings (2011) Limited agreed to the accession of Co-op Funeral Plans Limited and Co-op Insurance Services Limited as new Guarantors under the Notes.
