Issue of shares pursuant to the Company's 2017 Bonus Share Matching Plan (the "Plan") and PDMR notifications
Gresham House, (AIM: GHE) the specialist alternative asset manager, announces that, pursuant to the Plan, 925 ordinary shares of 25 pence each in the capital of the Company ("Ordinary Shares") have been allocated to award holders and 3,845 Ordinary Shares have been allocated to the PDMRs listed below, on 5 March 2020. The aggregate number of 4,770 Ordinary Shares so allocated will be issued by the Company to the Gresham House plc Employee Benefit Trust ("Trust") who have agreed to subscribe for such shares pursuant to the existing arrangements between the Company and the Trust. The Trust will then transfer such holding of 4,770 Ordinary Shares to the award holders and PDMRs.
Applications have been made for the admission to trading on AIM ("Admission") for 4,770 Ordinary Shares. Admission is expected to occur on or after 11 March 2020 at which point the Trust will transfer the 4,770 Ordinary Shares to the Company's employees and PDMRs.
Following Admission, the total issued share capital of the Company will be 28,443,773 Ordinary Shares (which figure includes the 555,555 Ordinary Shares issued earlier today and reported by the Company in the announcement headed "Gresham House plc Acquisition of TradeRisks Ltd" as well as the 4,770 Ordinary Shares which are the subject of this announcement). This figure of 28,443,773 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
