2008 Final Dividend - Scrip Alternative
Costain announces that, following approval by shareholders at the Company's 2008 AGM of the scrip dividend scheme, elections have been made by shareholders to receive 330,328 ordinary shares of 5p each in the Company ("Shares") in lieu of cash in respect of all or part of their final dividend for the year ended 31 December 2008 ("Final Dividend"), to be paid on 22 May 2009.
Application has therefore been made for the admission ("Admission") of 330,328 new Shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities. The new Shares will rank pari passu with the Company's existing issued Shares and dealings are expected to commence on Friday 22 May 2009.
The resultant interests, upon Admission, of certain Directors who have elected to receive the Final Dividend in the form of shares is set out below:

Upon Admission the total number of Shares in issue, and therefore the total number of voting shares, is 633,696,391 shares. There are no shares held in Treasury. The above figure may be used by shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
