NOTICE OF WAIVER OF ARRANGER FEE

Leverage Shares -3x Short NIO ETP Securities (ISIN: XS2399365555)

(the "Relevant Series")

Leverage Shares plc (the "Issuer") hereby gives notice that the Arranger of the Issuer's exchange traded securities programme, Leverage Shares Management Company Limited, has advised the Issuer that with effect from 18 May 2022, it will waive it's Arranger Fee with respect to the Relevant Series until at least 30 September 2022. The Issuer will notify the ETP Securityholders of the Relevant Series when the Arranger advises that the Arranger Fee has been reinstated.

Capitalised terms used, but not defined, in this notice shall have the meaning given thereto in the Issuer's Base Prospectus dated 7 December 2021.
