(Alliance News) - Venture Life Group PLC on Tuesday said it sold the Ultradex and Dentyl brands to Covestus Holdings Ltd for an enterprise value of up to GBP4.5 million in order to focus on its core assets.
The Berkshire, England-based developer and manufacturer for the consumer self-care market said the consideration for the sale is payable in cash, with GBP3.8 million paid to Venture Life on completion, subject to working capital adjustments.
A further amount of up to GBP750,000 will be payable in cash, which is conditional upon the Oral Care assets achieving expected trading results for the 12 months post completion, the company said.
Last year, the Oral Care assets generated a revenue of GBP4.3 million and adjusted earnings before interest, taxes, depreciation, and amortisation of GBP400,000.
Venture Life said the assets do not form part of the future strategic direction of the company.
It said that the sale allows the company to further streamline its operations and focus on its "higher margin, higher growth" Power Brands, which are its core brands. These include Balance Activ, Health & Her/Him, Lift and Earol.
"As we have indicated before these assets no longer form part of our strategic vision for Venture Life, so the divestment allows us to recycle the funds raised into our core focus categories and brands working out our 5-pillar strategic growth plan," said Chief Executive Jerry Randall.
"These two divestments have significantly simplified the group and in conjunction with our new Microsoft D365 ERP system, which is now going live, we have a much more streamlined, agile and scalable business."
Shares in Venture Life rose 1.6% to 61.48 pence on Tuesday afternoon in London.
