PROACTIS Holdings Non-Executive Sophie Tomkins Leaves Immediately

(Alliance News) - PROACTIS Holdings PLC on Tuesday said Independent Non-Executive Director Sophie Tomkins has resigned from the board with immediate effect, in order to focus on her other directorships.

The AIM-listed software company said, in line with its intention to strengthen the independence of its non-executive directors, it is already undertaking a formal search process, with a number of candidates identified. This search will now also include the process of appointing Tomkins's replacement.

PROACTIS also said Rodney Potts will replace Tomkins as the chair of the Remuneration Committee in the interim period, until the non-executive search is concluded.

"On behalf of the board I would like to thank Sophie for her contribution to the group and wish her well for the future," said Non-Executive Chair Alan Aubrey.

"As a board we are committed to strong corporate governance, and we re-iterate that in accordance with the UK governance code, we intend to transition to a board where at least half of its members, excluding the chair, are independent non-executive directors. These discussions are ongoing, and the board will announce further updates in due course," added Aubrey.

PROACTIS shares closed 0.6% higher in London on Tuesday at 32.70 pence each.
