PeerTV Issues Shares Under Convertible Loan Note, To Repay Debt (ALLISS)

LONDON (Alliance News) - PeerTV PLC said Monday it has issued 16.7 million shares at a price of 0.0999 pence to YA Global SPV Ltd under a convertible loan note facility it agreed with YA Global in February.

In February PeerTV agreed a convertible loan facility with YA Global of up to USD2 million. The shares issued Monday, valued at GBP16,683, represent a conversion of GBP15,985 under this facility and the payment of interest accrued.

Additionally, PeerTV also has issued a total of 122.8 million shares at 0.1173 pence to pay various debts.

This included 72.7 million shares at 0.11 pence to CSS Alpha BVI Ltd as a part repayment of a revolving finance facility, 19.4 million shares at 0.128 pence to Ran Zamir as part repayment of a loan, 15 million shares at 0.128 pence to Shlomo & Ruth Galanti for the part repayment of a loan, and 15.6 million shares to Demri Group as payment for arrears on PeerTV's premises in Petach Tikva, Israel.

Shares in PeerTV are trading down 11% at 0.120 pence Monday afternoon.
