IN BRIEF: Two Scapa Resolutions Face Significant Opposition At AGM

Scapa Group PLC - healthcare and industrial company with headquarters in Manchester - Notes opposition at annual general meeting to resolutions 2 and 13. These resolutions, which were passed, were apposed by more than 20% of AGM votes. Resolution 2 approves the directors' remuneration report for Scapa's 2020 financial year ended March, while resolution 13 authorises directors to dis-apply pre-emption rights in relation to an additional 5% power, on top of the customary 5%, to be used in connection with an acquisition or capital investment.

"In the period ahead, the board, under the stewardship of its newly appointed ahair, will continue to consult and engage with shareholders in order to foster further understanding of their expectations and views. The outcome of these engagements will be detailed in next year's Annual Report and Accounts," says Scapa.
