(Alliance News) - Gateley Holdings PLC on Monday said it has bought boutique intellectual property firm Groom Wilkes & Wright LLP for up to GBP9.0 million.
The Birmingham, England-based legal and consultancy firm said GWW specialises in trademark and design law, and represents clients from start-ups to "several of the biggest brand-owning companies globally".
For the twelve months to April 5, GWW recorded revenue of GBP4.7 million, with corporatised pretax profit of GBP1.4 million.
Gateley said GWW will operate within its Business Services Platform and will continue to trade under its previous name.
The initial consideration for the purchase is GBP5.7 million. All payments will be made as 75% in cash and 25% by the issuance of Gateley shares at 124 pence per share.
The cash consideration will be funded from Gateley's GBP80 million revolving credit facility.
The balance of the consideration will payable by reference to a two-year earn-out period, with additional payments equal to the earnings before interest, tax, depreciation and amortisation of the acquired business in each of the two years after completion.
All members of the GWW management team will remain with the business, Gateley noted.
"This strategic acquisition will extend our reach in trade mark work across our consultancy and legal services teams who operate in this field," said Gateley Chief Executive Officer Rod Waldie.
"The acquisition forms part of our acquisitive and organic growth plan to develop a distinct and innovative intangible assets offering that further builds on the extensive expertise we have in the market and where we are already seeing huge potential for further growth."
Shares in Gateley were down 1.0% at 125.72p in London on Monday morning.
