DIRECTOR DEALINGS SUMMARY: Keywords Co-Founder And CEO Set To Sell

LONDON (Alliance News) - The following is a summary of director dealings reported in London on Thursday.

Keywords Studios said its co-founder Giorgio Guastalla and Chief Executive Officer Andrew Day plan to sell around GBP14.0 million worth of shares in the company through an accelerated bookbuild.

PEQ Holdings, the holding company of the founders of Keywords led by Non-Executive Director Guastalla, alongside Day, plan to sell up to 4.0 million shares and 1.5 million shares, respectively.

The combined total of up to 5.5 million shares is equal to 10.2% stake in Keywords. The company said this is the first sale of shares by either PEG or Day since its IPO in June 2013. The sellers are subject to a lock-up agreement for their remaining shares lasting up to a year following completion of the sale, Keywords added.

The shares are being offered to institutional investors via a bookbuild with Numis Securities and finnCap acting as joint brokers. The final price the shares are to be sold at will be agreed by the brokers at the close of the book build process, the company added.

"The proposed sale will enable Keywords to satisfy institutional demand for the group's shares and broaden our shareholder base, whilst also allowing Giorgio to diversify his family's portfolio of investments which has substantively been in Keywords since he and his wife founded the business in 1998," Day said.

Keywords is a technical services provider to the video games industry, providing localisation services such as translation.

The stock closed down 1.4% at 250.00p Thursday.

Infrastructure investor and manager John Laing Group said Chief Executive Olivier Brousse bought shares in the company on Thursday. Brousse bought 1,878 shares at 211.37 pence per share, taking his total holding up to 141,818 shares. John Laing shares closed up 0.1% at 211.00p on Thursday.

Indivior said Chief Human Resource Officer Jon Fogle bought 9,100 American Depositary Receipts on Wednesday. Fogle purchased 200 ADRs at a price of USD11.2103 per ADR and made a further purchase of 8,900 ADRs at a price of USD11.24 each. As a result of these transactions, Fogle now has an interest in 65,500 ordinary shares in the FTSE 250 pharmaceutical company. One ADR equals four ordinary shares. The stock closed down 0.2% at 155.90p Thursday.

Edinburgh Dragon Trust said Non-Executive Director Charlie Ricketts bought 5,000 shares at a price of 241.50 pence per share on Thursday. The purchase is Rickett's only holding in the trust. The stock closed down 0.5% at 241.75p Thursday.

Drug discovery company e-Therapeutics said Non-Executive Director Trevor Jones subscribed for 29,376 new shares at 19.14 pence each on Wednesday, which is his only holding. Admission of the 29,376 new shares to trading on AIM is expected on May 17. The stock closed down 0.7% at 14.35p Thursday.

Gold miner Petropavlovsk said Chief Operating Officer Dmitrii Chekashkin sold 311,104 shares last Friday at 8.8 pence per share. Following this transaction, Chekashkin now holds 4.5 million shares, which represents 0.135% of the company's total voting rights. The stock closed up 3.1% at 8.79p Thursday.

Standard Life UK Smaller Companies Trust said Fund Manager Harry Nimmo bought 35,250 shares at a price of 354.00 pence per share on Thursday. Following this transaction, Nimmo now holds 333,370 shares, which represents a 0.49% stake in the trust. The stock closed up 0.3% at 354.99p Thursday.

Jupiter Energy said Vitoria Pty, a vehicle connected to Chairman Geoffrey Gander, sold 1.2 million shares at a price AUD0.25 each. The shares were sold for the purposes of general financial management, the company said. Following this transaction, Gander has a resultant indirect beneficial holding of 2.0 million shares held through Vitoria Pty and Gander Super Fund. The stock closed down 2.9% at 9.59p Thursday.
